End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Collabo Tech Ltd ("Company", "we", "us"), a limited liability company registered at Innovation Hub, Dubai International Financial Centre (DIFC), Dubai, UAE. This EULA governs your use of any software application, mobile application, or digital product developed and distributed by Collabo Tech Ltd (collectively, the "Software").

By downloading, installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Software.

2. License Grant

Subject to the terms and conditions of this EULA, Collabo Tech Ltd grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on your personal device(s) strictly in accordance with the Software documentation and this EULA.

3. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
• Copy or use the Software for any purpose other than as permitted under this EULA.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Collabo Tech Ltd or its affiliates, partners, or licensors.

4. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of Collabo Tech Ltd. This EULA does not convey to you any interest in or to the Software, but only a limited right of use revocable in accordance with the terms of this EULA.

5. Your Content

The Software may allow you to create, upload, or share content ("User Content"). You retain ownership of your User Content. By submitting User Content through the Software, you grant Collabo Tech Ltd a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely for the purpose of operating and improving the Software.

6. Updates and Modifications

Collabo Tech Ltd may from time to time provide updates, patches, or modifications to the Software, which may be automatically installed. Such updates are subject to this EULA unless they are accompanied by a separate license agreement. We are not obligated to provide any updates or to continue to support the Software indefinitely.

7. Third-Party Services

The Software may display, include, or make available third-party content (including data, information, applications, and other products or services) or provide links to third-party websites or services ("Third-Party Services"). You acknowledge and agree that Collabo Tech Ltd shall not be responsible for any Third-Party Services, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, or any other aspect thereof.

8. Privacy

Collabo Tech Ltd collects and processes personal data in accordance with its Privacy Policy, which is incorporated into this EULA by reference. By using the Software, you consent to the collection and use of information as described in the Privacy Policy.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLLABO TECH LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COLLABO TECH LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Collabo Tech Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Software or your violation of any term of this EULA.

12. Termination

This EULA is effective until terminated. Collabo Tech Ltd may terminate this EULA at any time without notice if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software. Termination will not limit any of Collabo Tech Ltd's rights or remedies at law or in equity.

13. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), without regard to its conflict of law provisions. Any legal action or proceeding arising under this EULA will be brought exclusively in the courts of the DIFC.

15. Amendments

Collabo Tech Ltd reserves the right to modify this EULA at any time. We will notify users of any changes by updating the "Last updated" date of this EULA. Your continued use of the Software after any such changes constitutes your acceptance of the new EULA.
